License Agreement

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Software for your internal business purposes. This license exists for as long as your account is active and in good standing.

You agree that you will not:

• Copy, modify, or create derivative works of the Software except as expressly permitted.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software.
• Rent, lease, lend, sell, sublicense, or otherwise transfer the Software or your license to any third party.
• Remove, alter, or obscure any proprietary notices on the Software.
• Use the Software to build a competing product, or in any unlawful, fraudulent, or deceptive manner.
• Circumvent or interfere with security, rate-limiting, or access-control features of the Software.

The Software is licensed, not sold. We and our licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This Agreement does not grant you any rights to our trademarks, logos, or service marks.

You retain ownership of all data and content you upload, create, or transmit through the Software ("Your Content"). By using the Software, you grant us a limited license to host, process, and transmit Your Content solely to operate and improve the Software. You are responsible for ensuring you have the rights and consents necessary to store and process client data, including consent for SMS and voice communications.

The Software integrates with third-party services that you may choose to connect, including Intuit QuickBooks Online, Google, Twilio, and Stripe. When you connect such a service, you authorize FieldStone to access and process only the data necessary to provide the integration, in accordance with our Privacy Policy. Your use of those services is also governed by their respective terms and privacy policies, and we are not responsible for their availability, accuracy, or practices. You may disconnect any integration at any time, which revokes FieldStone's access to that service.

The Software includes AI-powered features such as AI reception, smart scheduling, and message suggestions. These features are provided "as is." AI outputs may be inaccurate or incomplete — you are responsible for reviewing and verifying any AI-generated content before acting on it. We are not liable for decisions made based on AI outputs.

We may release updates, enhancements, or modifications to the Software from time to time. Such updates are subject to this Agreement unless accompanied by separate terms. We may also add, change, or remove features without liability to you.

The Software is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Software will be error-free, secure, or uninterrupted.

To the maximum extent permitted by law, ClaimRoute, LLC (which operates FieldStone) and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Software. Our total aggregate liability for any claims arising from or related to the Software shall not exceed the amount you paid us in the 12 months preceding the claim.

This Agreement remains in effect until terminated. Your license terminates automatically if you breach any term of this Agreement. We may also suspend or terminate your access for any reason, including violation of these terms. Upon termination, you must cease all use of the Software. Provisions that by their nature should survive termination (e.g., ownership, liability limitations) will survive.

This Agreement is governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
